Still reeling from her recent split with her boyfriend Hayden Kho, popular cosmetic surgeon Vicky Belo faces another battle, this time at the Supreme Court..
Belo’s former live-in partner Jose Santos is running after a directorship in the firm, having supposedly acquired 25 percent in the shares of stock in the company while he and Belo were living together as “husband and wife.”
Santos had sought to obtain copies of minutes of meetings, board resolutions, financial reports and other documents of the Belo Medical group.
But he was not given access to the company’s books because he was a mere nominal shareholder of her shares, which means that he only held the shares on her behalf.
Belo Medical Group Inc. filed before the Makati regional trial court an interpleader suit – a remedy whereby a stakeholder in possession of property claimed by two or more persons may seek litigation without being involved in the issue. This remedy is also afforded to a person against double vexation.
But on Dec. 8 last year, the Makati RTC dismissed the suit for being an intra-corporate dispute or an internal dispute within the company and not an interpleader suit.
“Said dispute between defendant Santos and Belo is intrinsically connected with the regulation of the corporation as it involves the right of inspection of corporate records.”
The lower court’s decision prompted Belo to elevate their petition to the Supreme Court.
Belo Medical group filed a petition at the SC last Friday seeking trial at the Makati RTC court that would settle the dispute.
In a 26-page petition, the Belo Medical Group said the Makati RTC wrongfully assumed that the case is a mere intra-corporate dispute and not an interpleader suit
